Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Appointment of Interim Chief Operating Officer

On June 19, 2024, Merel Witteveen was appointed to serve as the Interim Chief Operating Officer of C3.ai, Inc. (the “Company”), effective immediately. Ms. Witteveen will serve in such capacity until July 31, 2024. Ms. Witteveen will continue to report to Thomas M. Siebel, the Company’s Chief Executive Officer and Chairman.

Ms. Witteveen, age 39, has served as the Company’s Group Vice President, Alliances, since November 2022, and has worked at the Company in various roles since August 2016, including Director, Products; Senior Director, Products; Vice President, Marketing; Vice President, Products and Product Operations; and Vice President, Alliances. Prior to joining the Company, Ms. Witteveen worked at McKinsey & Company.

There are no family relationships between Ms. Witteveen and any director or executive officer of the Company, and there are no transactions between Ms. Witteveen and the Company that would be required to be reported under Item 404(a) of Regulation S-K.
